 1 Supporting Survivors Giving Birth Course Terms

The parties to this Agreement, Supporting Survivors Giving Birth Course Member “Member” and Resilient Birth LLC, a Massachusetts limited liability company (“Resilient Birth”), enter this Agreement as of the date the signs up for the Supporting Survivors Giving Birth Course.

2 Background and Reason for this Agreement

Resilient Birth provides education and information trauma-informed practices in the perinatal period, as well as, childbirth education and parenting support on Resilient Birth’s website, www.resilientbirth.com, on social media and networking sites used by Resilient Birth, and in print and other electronic media.

Resilient Birth has developed an online training program, in which Members will receive:

• Training on trauma-informed perinatal support.

• Access to a private Facebook Group (“Facebook Group”)

• PDFs of Resilient Birth Materials (“PDFs”)

3 AGREEMENT

In consideration of the right to be a member of the Supporting Survivors Giving Birth Course (“Member”), and the non-exclusive license to use the PDF materials of Resilient Birth, I agree to abide by the terms of this Agreement.

4 GRANT OF LICENSE

In accordance with this Agreement, Resilient Birth grants this Member a non-exclusive license to use and transfer to clients and individual colleagues the PDF materials. Resilient Birth retains title and ownership of the PDFs. Any and all improvements, amendments, changes, translations, alterations, and derivatives to the PDFs created by the Member shall become the property of Resilient Birth, and Member agrees to assign any and all rights, title, and interest in and to such improvements, amendments, changes, translations, alterations, and derivatives to the PDFs to Resilient Birth. Member shall not alter, amend, make derivative works of, or change in any way any of the PDFs or any other works of Resilient Birth.

5 TERM

This Agreement and the license granted herein shall commence on the Effective Date, and expire after the completion of six weeks (the “Term”).

6 Membership

Resilient Birth may, at its sole discretion, elect to:

• Refuse your request to become a Member; or

• Once Membership is granted, suspend, terminate or restrict your Membership at any time

Resilient Birth is not obliged to give reasons for any decision it makes to suspend, terminate or restrict your Membership or to reject your request to become a Member. Each Member will follow and adhere to this agreement in whole or immediately forfeit all rights as a Member.

Your Membership is non-transferable.

You must not allow any third party to access the Facebook Group using your username and password and make use of the Facebook Group on your behalf.

You agree to indemnify, defend and hold Resilient Birth, its owners, directors, managers, employees, affiliates and suppliers, harmless from any and all liability, loss, claim, cause of action, and expense (including reasonable attorney’s fees) related to this Agreement, including but not limited to, your use of the Resilient Birth PDFs, or the Facebook Group and using the PDFs with your clients or colleagues, including any claim or demand, made by any third party due to or arising directly or indirectly out of your conduct or in connection with your use of Resilient Birth materials of any kind.

7 Benefits conferred by Membership

By being registered as a Member you are, subject to these Membership Terms, entitled to:

1. Participate in the Facebook Group;

2. Participate in the Zoom conference calls;

3. Use the PDFs with your clients and individual colleagues as described in the Grant of License

 

8 Facebook Group Rules and Policy

Share: Share your successes and failures, tips and tricks, and resources. Use this group as a peer-to-peer learning tool – that means interact with each other; share ideas and problems; give feedback; request clarifications; post inspirational messages; do Facebook Lives in the group

Ask Questions: There is no such thing as a silly question. Ask it! We’re here as a resource to each other. 

Our Goal: The goal of this group is to provide support, information, and education for members of the Supporting Survivors Giving Birth Beta Course

Be Kind: We are all learning and we all make mistakes, let’s make this group a safe and supportive community.

Provide Support and Feedback: Groups die when no one comments – so we ask that you be an engagement member of the group by commenting on other people’s posts and creating posts of your own.

Privacy is Still Important even in a Closed Group: Screenshots are strictly forbidden; any member who takes screenshots of the private group are subject to immediate removal from the professional membership.

Be careful how you discuss specific client situations as you may be breaking confidentiality.

9 The Following Resilient Birth Policies Apply to all Members

• Members are not permitted to sell the PDFs or any other Resilient Birth materials or products of any kind in person or online, in any way, in any form, for any reason whatsoever.

• Any electronic sharing of permitted documents must take place via private messaging (i.e. email).

• If it is discovered that the Member has posted the PDFs online, this is automatic grounds for dismissal from Supporting Survivors Giving Birth Course.

• Taking screen shots of the Facebook Group is expressly forbidden, and is grounds for immediate dismissal from the Membership.

10 Membership Cancelation Policy:

• In the event of cancellation, this Agreement may be terminated automatically by Resilient Birth, and you will no longer have access to the Supporting Survivors Giving Birth Course or the Facebook Group.

11 TERMINATION

This Agreement may be terminated by either party, with or without cause.

12 FULL AGREEMENT; CHOICE OF LAW

This written agreement expresses my complete understanding with respect to my rights, granted, licensed, assigned, waived and released herein, and supersedes any and all prior written and oral agreements and understandings (if any) between me and Resilient Birth. This Agreement shall be governed by the laws of the Commonwealth of Massachusetts. I acknowledge that I have read this Agreement and have had a full, fair, and reasonable opportunity to ask questions concerning its terms and to evaluate the answers given personally, or in consultation with legal counsel. I further acknowledge that I have read, understood, and agree to comply with all the requirements as stated above, and agreement to such terms as my free and voluntary act.
